1. What is this Affiliates Program about? 

These Affiliates Terms set out the terms and conditions under which we, Shares Digital Assets sp. z o. o., are offering to our Users being Polish residents the opportunity to refer users, entitling them and their referred social media followers, subject to eligibility criteria as further detailed below, to receive a reward as further detailed below (the “Reward”) (the “Affiliates Program”). 

This Affiliates Program is only accessible to Users being Polish residents that are eligible to refer users in accordance with these Affiliates Terms and have accepted these Affiliates Terms.

By accepting these Affiliates Terms, Affiliate and Referees expressly acknowledge and agree that they will not be concomitantly eligible to participate in any other referral or affiliate program implemented by Shares unless otherwise expressly stated. 

This Affiliates Program is available for an undefined period commencing on 29/05/2023 09:00 AM CET (the “Term”) as further detailed in these Affiliates Terms. 

Please carefully read these Affiliates Terms including the eligibility criteria set out below. These Affiliates Terms are in addition to and should be read together with the terms and conditions of the Application including all Appendices thereto (as they may be amended from time to time, the “App T&Cs”) which are available on https://shares.io/pl/app-terms-and-conditions-en/ and the Crypto Account and Services Agreement including all Appendices thereto (as they may be amended from time to time, the “Crypto T&Cs”) which are available on https://shares.io/pl/crypto-terms-and-conditions-english/ and are each incorporated herein by reference. If there is any inconsistency between the App T&Cs, the Crypto T&Cs and these Affiliates Terms, these Affiliates Terms will apply. 

2. Definitions 

To help you more easily understand these Affiliates Terms, we have set out below the specific meaning of capitalised terms used throughout these Affiliates Terms:

“App T&Cs” - has the meaning given to such term in Section 1 above;

“Crypto T&Cs” - has the meaning given to such term in Section 1 above;

“Existing User” - has the meaning given to such term in Section 3 below;

“KYC” - has the meaning given to such term in Section 3 below;

“Term” - has the meaning given to such term in Section 1 above;

“Affiliates Program” - has the meaning given to such term in Section 1 above;

“Affiliates Terms” - refers to these terms and conditions, made available to the Affiliate and Referee during the Term; 

“Referee” - has the meaning given to such term in Section 3 below; 

“Affiliate” - has the meaning given to such term in Section 3 below;

“Reward” - has the meaning given to such term in Section 1 above; 

“Shares” or “we” - means Shares Digital Assets sp. z o. o., a private limited liability company incorporated under Polish law, having its registered office at ul. Mogilska 43, 31-545 Kraków, Poland, registered with the Register of Entrepreneurs of the National Court Register, maintained by District Court for Kraków-Śródmieście in Kraków, XI Division of the National Court Register, under the KRS number 0000978485.

If a capitalised term is used in these Affiliates Terms without being defined above, it shall have the meaning given to this term in the App T&Cs or Crypto T&Cs, as applicable.

3. Am I eligible for the Affiliates Program and what do I need to do to take part in the Affiliates Program and earn the Reward?

To be eligible to refer a user as a Affiliate, you must be a Polish resident and have successfully completed all Shares onboarding steps, including having approved the App T&Cs and the Crypto T&Cs and completed our “Know your Customer checks” (“KYC”) (an “Existing User”)

To take part in the Affiliates Program as a Affiliate, you must: 

• accept the invitation to participate in the Affiliates Program sent by Shares via e-mail;
• accept these Affiliates Terms, and 
• share your referral link with social media followers who are Polish residents and are not Existing Users at the time of sharing your referral link (each a “Referee”) during the Term. Your referral link is not specific to each Referee and can be reused to introduce multiple social media followers. 

For each Referee having completed the steps listed in Section 4 below within the Term, you will be awarded a Reward that will consist of EUR 10 as further detailed below. If you or any of your Referees do not, or if you or they only partially meet a criterion provided for in these Affiliates Terms during the Term, you will not receive a Reward. You will not receive any Reward if you are no longer an Existing User on the Reward(s) grant date as provided below. 

Your referral link will automatically be rendered invalid if you cease to be an Existing User during the Term. 

Referral links are for social media followers of the Affiliate only. The Affiliate is encouraged to promote the App on their networks on social media. The Affiliate shall not share the referral link externally to people outside their network. They should not send the referral link out en masse.

The Affiliate shall not make available the referral link on any internet website on which Shares promotes the App and/or in any other manner which results in the Affiliate competing with Shares in relation to the promotion of the App. In addition, the Affiliate shall not carry out search engine marketing of the App using the word "Shares". In the event that the Affiliate is in breach of the foregoing provisions, Shares reserves the right to immediately terminate their participation in the Affiliates Program pursuant to the terms specified in section 5 below.

Shares reserve the right to inspect or otherwise monitor the Affiliate publications at any time to determine whether the Affiliate is following our Community Guidelines available on https://shares.io/pl/community-guidelines/ and their posts are in compliance with these Affiliates Terms.

The Affiliate undertakes to make their best efforts to provide any information and cooperation needed by Shares regarding any copyright, trademark, branding and/or domain name that appears in the Affiliate's publications. The Affiliate can use Shares' trademark only for the promotion purposes under the Affiliates Terms.

The Affiliate shall bear all costs and expenses incurred in connection with its marketing activity, including advertising if applicable as well as all other related operational costs. 

The Affiliate shall be responsible and liable for obtaining and maintaining of, as well as for compliance with, any and all applicable laws and regulations as may be necessary for the Affiliate’s performance of its undertakings under these Affiliates Terms including but not limited to the marketing rules applicable to the user of Shares’ brand and name, as applicable in Poland. Shares shall under no circumstances be held liable for and the Affiliate shall indemnify Shares against any and all claims asserted against Shares by reason of the Affiliate’s publications, activities and efforts.

Shares does not assume any responsibility towards the Affiliate and/or any third party acting on information contained in the Affiliate's publications.  

4. What does the Referee need to do so that the Affiliate and the Referee can both earn a Reward?

To earn a Reward in respect of a given Referee, such Referee must be a Polish resident and have completed the following steps within the Term:

• using their mobile device clicked on the referral link received on your behalf; 
• downloaded Shares application to the same mobile device they have clicked on the referral link from;
• successfully completed all Shares onboarding steps, including having approved the App T&Cs and Crypto T&Cs and completed our KYC; and
• completed buy Order(s) on the App for a minimum aggregate amount of EUR 20 or more (including the amount of any Transaction Fees).

Each of your Referees having completed the above steps within the Term will receive a Reward that will consist of EUR 5 worth of Bitcoin (BTC) as further detailed below. If you or any of your Referees do not, or if you or they only partially meet a criterion provided for in these Affiliates Terms during the Term, they will not receive a Reward. Your Referee(s) will not receive any Reward if they are no longer an Existing User on the Reward(s) payment date as provided below.

Each Referee’s Reward will be made available on its Crypto-Account within 30 calendar days of such Referee having completed the steps listed above.

The euro (€) value of a given Reward will be credited to the e-money Account of a Referee, as applicable, and a buy Order will automatically be submitted in the name of the Referee, as applicable, to acquire Bitcoin (BTC) for the relevant Reward’s net euro (€) value.  Upon completion of the buy Order in accordance with the Crypto T&Cs, the Referee’s Crypto-account, as applicable, will be credited with Bitcoin (BTC). Transaction Fees will apply to this Transaction.

By participating in this Affiliates Program, each of the Referees expressly and irrevocably instruct Shares to submit buy Orders in their respective names and on their behalf for the purchase of Bitcoin for a value equal to the Reward euro (€) equivalent as at the time such buy Order is made. 

Due to the inherent nature of a moving market, the value of Bitcoin (BTC) can change, sometimes rapidly and significantly. Shares can therefore not guarantee the quantity of Bitcoin that will be received by the Referee.  

If the Referee sold the Reward on the App within 30 days of its receipt, the proceeds of such sale may not be withdrawn from the User’s e-money Account until the expiration of such 30 days period but may be used immediately to invest on the App.

5. What other terms and legal information should I know ?

Shares does not offer investment advice and Users should make their own decisions on Investments or seek independent advice from a professional adviser. Nothing in these Affiliates Terms represents a recommendation to buy, sell, or hold any particular digital asset.

Any tax implications will depend on the Affiliate/Referee’s personal circumstances. If unsure about any tax implications, seeking advice from a tax professional is recommended.

The purpose of this Affiliates Program is to introduce Shares to new users that wish to actively use the services provided by Shares. If we identify any fraud or abusive behaviour aimed to take advantage of this Affiliates Program contrary to its purpose, we may in our sole discretion take any actions we see fit in the circumstances, including disqualifying any Existing Users from participating in the Affiliate Program, revoking and removing a Reward made available or terminating a User Account. 

For example, abusive behaviour is considered to be (but is not limited to):

• sending out mass referral links to Referees who subsequently all make their buy Orders to comply with the criteria for the Reward, and then immediately sell their positions to withdraw their funds; or
• not complying with section 4, especially the Community Guidelines. 

Shares reserves the right to alter, amend, extend, terminate or foreclose this Affiliates Program at any time without prior notice for any User. We will notify you about any changes to the Affiliates Program and/or its conditions by updating these Affiliates Terms. 

By agreeing to these Affiliates Terms you agree to receive further marketing communication via email about any future promotions we may offer. You may opt out of or unsubscribe from these emails at any time.  

By forwarding the referral link and participating in this Affiliates Program you are consenting to the use of a pseudonymised ID to identify you as the Affiliate of your Referees. We handle personal data in accordance with applicable data protection laws and in line with the Shares' privacy policy. This policy should be read and understood in conjunction with these Affiliates Terms.

These Affiliates Terms are governed and construed in accordance with the law of the Republic of Poland. The common courts of the Republic of Poland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Affiliates Program.

We will not be liable to you for any action or inaction we take pursuant to applicable law and regulation.

1. Czego dotyczy niniejszy Regulamin Programu Partnerskiego?

Niniejszy Regulamin Programu Partnerskiego określa zasady i warunki, na jakich my, czyli Shares Digital Assets sp. z o. o., oferujemy naszym Użytkownikom będącym mieszkańcami Polski możliwość polecania uczestników i upoważniania ich oraz ich poleconych obserwujących w mediach społecznościowych do otrzymania nagrody, z zastrzeżeniem kryteriów kwalifikacji określonych poniżej (dalej „Nagroda”) (dalej „Program Partnerski”).

Niniejszy Program Partnerski jest dostępny wyłącznie dla Użytkowników będących mieszkańcami Polski, którzy są uprawnieni do polecania użytkowników zgodnie z niniejszym Regulaminem Programu Partnerskiego i zaakceptowali jego warunki.

Akceptując niniejszy Regulamin Programu Partnerskiego, Partner i Osoby Polecone wyraźnie przyjmują do wiadomości i zgadzają się, że nie będzie jednocześnie uprawnieni do udziału w żadnym innym programie polecającym lub partnerskim realizowanym przez Shares, chyba że wyraźnie stwierdzono inaczej.

Niniejszy Program Partnerski jest dostępny wyłącznie w okresie od 29/05/2023 09:00 AM CET („Okres Partnerstwa”), jak szczegółowo opisano w niniejszym Regulaminie Programu Partnerskiego.

Prosimy o uważne przeczytanie niniejszego Regulaminu Programu Partnerskiego, w tym kryteriów kwalifikujących określonych poniżej. Niniejszy Regulamin Programu Partnerskiego stanowi uzupełnienie i powinien być czytany łącznie z warunkami Aplikacji, w tym wszystkich ich załączników (z ewentualnymi zmianami, zwanymi dalej „Warunkami"), które są dostępne na stronie https://shares.io/pl/app-terms-and-conditions-pl/  oraz Umową o Otwarcie Rachunku Kryptoaktywów i o Świadczenie Usług, w tym wszystkich jej załączników (z ewentualnymi zmianami, zwaną dalej „Umową"), które są dostępne na stronie https://shares.io/pl/crypto-terms-and-conditions-pl/ i stanowią wiążące uzupełnienie niniejszego Regulaminu Programu Partnerskiego poprzez niniejsze odesłanie. W przypadku jakiejkolwiek niezgodności pomiędzy Warunkami, Umową i niniejszym Regulaminem Programu Partnerskiego, pierwszeństwo będzie miał niniejszy Regulamin Programu Partnerskiego.

2. Definicje

Aby ułatwić Ci zrozumienie niniejszego Regulaminu Programu Partnerskiego, poniżej przedstawiamy szczegółowe znaczenie terminów pisanych wielką literą, używanych w niniejszym Regulaminie Programu Partnerskiego:

„Warunki” – ma znaczenie nadane w punkcie 1 powyżej;

„Umowa” – ma znaczenie nadane w punkcie 1 powyżej;

„Istniejący Użytkownik” – ma znaczenie nadane w punkcie 3 poniżej;

„KYC” - ma znaczenie nadane w punkcie 3 poniżej;

„Okres Poleceń” – ma znaczenie nadane w punkcie 1 powyżej;

„Program Partnerski” – ma znaczenie nadane w punkcie 1 powyżej;

„Regulamin Programu Partnerskiego” – oznacza niniejszy regulamin, udostępniony Partnerowi i Osobom Poleconym w Okresie Partnerstwa;

„Osoba Polecona” - ma znaczenie nadane w punkcie 3 poniżej;

„Partner” - ma znaczenie nadane w punkcie 3 poniżej;

„Nagroda” - ma znaczenie nadane w punkcie 1 powyżej;

„Shares” lub „my” – oznacza Shares Digital Assets spółka z ograniczoną odpowiedzialnością utworzona zgodnie z prawem polskim, z siedzibą przy ul. Mogilskiej 43, 31-545 Kraków, zarejestrowana w rejestrze przedsiębiorców Krajowego Rejestru Sądowego prowadzonym przez Sąd Rejonowy dla Krakowa-Śródmieścia w Krakowie, XI Wydział Krajowego Rejestru Sądowego, pod numerem KRS 0000978485. 

Jeżeli w niniejszym Regulaminie Programu Partnerskiego użyto terminu pisanego wielką literą, który nie został zdefiniowany powyżej, będzie on miał znaczenie nadane temu terminowi odpowiednio w Warunkach lub Umowie.

3. Czy jestem uprawniony/a do udziału w Programie Partnerskim i co powinienem/am zrobić, aby uczestniczyć w Programie Partnerskim i otrzymać Nagrodę?

Aby być uprawnionym do polecenia użytkownika jako Partner, musisz być mieszkańcem Polski oraz pomyślnie przejść wszystkie kroki związane z przystąpieniem do Shares, w tym zatwierdzić Warunki i Umowę przejść naszą weryfikację „know your customer” („KYC") (dalej „Istniejący Użytkownik"). 

Aby wziąć udział w Programie Partnerskim jako Partner, musisz:

• zaakceptować zaproszenie do udziału w Programie Partnerskim wysłane wiadomością e-mail przez Shares;
• zaakceptować niniejszy Regulamin Programu Partnerskiego, oraz
• w czasie Okresu Partnerstwa udostępnić swój link polecający obserwującym w mediach społecznościowych, którzy są mieszkańcami Polski i nie są Istniejącymi Użytkownikami w momencie udostępniania Twojego linku polecającego (dalej „Osoba Polecona”). Twój link polecający nie jest unikatowy dla każdej Osoby Poleconej i może być ponownie wykorzystany do wprowadzenia wielu kontaktów i znajomych.

Za każdą Osobę Poleconą, która w Okresie Partnerstwa wykonała kroki wskazane w punkcie 4 poniżej, otrzymasz Nagrodę o wartości 10 EUR, na zasadach opisanych poniżej. Nie otrzymasz Nagrody, jeśli Ty lub którakolwiek z Twoich Osób Poleconych w Okresie Partnerstwa nie spełnicie bądź tylko częściowo spełnicie kryteria przewidziane w niniejszym Regulaminie Programu Partnerskiego. Nie otrzymasz żadnej Nagrody, jeśli we wskazanej poniżej dacie przyznania Nagrody (Nagród) nie będziesz już Istniejącym Użytkownikiem.

W każdym miesiącu, na Twoim Rachunku Kryptoaktywów będzie udostępniana Twoja Nagroda za wszystkie Osoby Polecone, które wykonały kroki wskazane w punkcie 4 poniżej, w poprzedzającym miesiącu. 

Twój link polecający zostanie automatycznie unieważniony, gdy w Okresie Partnerstwa przestaniesz być Istniejącym Użytkownikiem.

Linki polecające przeznaczone są wyłącznie dla obserwujących Partnera w mediach społecznościowych. Zachęcamy, aby Partner promował Aplikację w swoich kanałach w mediach społecznościowych. Partner nie będzie udostępniał linku polecającego do osób spoza swojej sieci. Linku polecającego nie należy rozsyłać w sposób masowy.

Partner nie może udostępniać linku polecającego na żadnej stronie internetowej, na której Shares promuje Aplikację lub w żaden inny sposób, który powoduje, że Partner konkuruje z Shares w związku z promocją Aplikacji. Ponadto Partner nie będzie prowadził marketingu Aplikacji w wyszukiwarkach z użyciem wyrazu „Shares". W przypadku naruszenia przez Partnera powyższych postanowień, Shares zastrzega sobie prawo do natychmiastowego zakończenia udziału Partnera w Programie Partnerskim na zasadach określonych w punkcie 5 poniżej.

Shares zastrzega sobie prawo do kontroli lub innego monitorowania publikacji Partnera w dowolnym czasie w celu ustalenia, czy Partner przestrzega naszych Wytycznych Społecznościowych dostępnych na stronie https://shares.io/pl/community-guidelines/, a jej posty są zgodne z niniejszym Regulaminem Programu Partnerskiego. 

Partner zobowiązuje się do dołożenia wszelkich starań, aby udzielić Shares wszelkich wymaganych informacji i współpracować z Shares w zakresie wszelkich praw autorskich, znaków towarowych, marek lub nazw domen, które pojawiają się w publikacjach Partnera. Partner może wykorzystywać znak towarowy Shares wyłącznie w celach promocyjnych zgodnie z Regulaminem Programu Partnerskiego.

Partner ponosi wszystkie koszty i wydatki poniesione w związku ze swoją działalnością marketingową, w tym reklamową, jeśli dotyczy, jak również wszystkie inne powiązane koszty operacyjne.

Partner ponosi odpowiedzialność za uzyskanie i utrzymanie wszelkich wymaganych zezwoleń oraz przestrzeganie wszelkich obowiązujących przepisów prawa i regulacji, które mogą być niezbędne do realizacji przez niego zobowiązań wynikających z niniejszego Regulaminu Programu Partnerskiego, włączając lecz nie ograniczając do zasad marketingowych obowiązujących użytkownika marki i nazwy Shares na terytorium Polski. Shares w żadnym wypadku nie będzie ponosić odpowiedzialności, a Partner zobowiązuje się uchronić Shares przed wszelkimi roszczeniami wysuwanymi wobec Shares w związku z publikacjami, działaniami i staraniami Partnera.

Shares nie ponosi żadnej odpowiedzialności wobec Partnera lub osób trzecich działających na podstawie informacji zawartych w publikacjach Partnera.

4. Co powinna zrobić Osoba Polecona, aby zarówno Osoba Polecona jak i Partner mogli otrzymać Nagrodę?

Osoba Polecona musi być mieszkańcem Polski i musi wykonać w Okresie Partnerstwa następujące kroki, aby otrzymać Nagrodę:

• przy użyciu swojego urządzenia mobilnego kliknąć w link polecający otrzymany od Ciebie;
• pobrać aplikację Shares na to samo urządzenie mobilne, na którym klinknięto w link polecający;
• pomyślnie przejść wszystkie kroki związane z przystąpieniem do Shares, w tym zatwierdzić Warunki i Umowę oraz przejść naszą weryfikację KYC; oraz
• zrealizować w Aplikacji jedno lub więcej Zlecenie kupna na minimalną łączną kwotę 20 EUR (włączając w to kwotę wszelkich Opłat Transakcyjnych).

Każda z Twoich Osób Poleconych, które wykonały powyższe kroki w Okresie Partnerstwa, otrzyma Nagrodę w postaci Bitcoinów (BTC) o wartości 5 EUR, na zasadach opisanych poniżej. Osoba Polecona nie otrzyma Nagrody, jeśli Ty lub którakolwiek z Osoba Polecona w Okresie Partnerstwa nie spełnicie bądź tylko częściowo spełnicie kryteria przewidziane w niniejszym Regulaminie Programu Partnerskiego. Twoje Osoby Polecone nie otrzymają żadnej Nagrody, jeśli we wskazanej poniżej dacie przyznania Nagrody (Nagród) nie będą już Istniejącymi Użytkownikami.

Nagroda dla każdej Osoby Poleconej zostanie udostępniona na jej Rachunku Kryptoaktywów w ciągu 30 dni kalendarzowych od wykonania przez taką Osobę Poleconą wszystkich czynności wymienionych powyżej.

Równowartość danej Nagrody w euro (€) zostanie dopisana do Rachunku Pieniądza Elektronicznego Osoby Polecanej, a następnie zostanie automatycznie złożone w imieniu Osoby Polecanej Zlecenie nabycia Bitcoin (BTC) za odpowiednią wartość euro (€) netto Nagrody. Po zrealizowaniu Zlecenia kupna zgodnie z Umową, Rachunek Kryptoaktywów Osoby Polecanej zostanie zasilony Bitcoinami (BTC). Będziemy naliczać Opłaty Transakcyjne dla takiej Transakcji. 

Biorąc udział w Programie Partnerskim, każda z Osób Poleconych wyraźnie i nieodwołalnie zlecają Shares złożenie w ich imieniu i na ich rzecz Zleceń kupna Bitcoin o wartości odpowiadającej równowartości Nagrody w euro (€) w chwili złożenia takiego Zlecenia kupna.

Ze względu na nieodłączny charakter płynnego rynku, wartość Bitcoin (BTC) może się zmieniać, czasami gwałtownie i znacząco. Shares nie może zatem zagwarantować ilości Bitcoinów, które zostaną otrzymane przez Osoby Polecone.

Jeżeli Nagroda zostanie sprzedana w Aplikacji w ciągu 30 dni od jej otrzymania, wpływy z takiej sprzedaży nie mogą zostać wycofane z Rachunku Pieniądza Elektronicznego Użytkownika przed upływem tego 30-dniowego okresu, ale mogą zostać natychmiast wykorzystane do inwestowania w Aplikacji.

5. O jakich innych zasadach i kwestiach prawnych powinienem wiedzieć?

Shares nie udziela porad inwestycyjnych, a Użytkownicy powinni podejmować własne decyzje dotyczące Inwestycji lub zasięgnąć niezależnej porady profesjonalnego doradcy. Żadne z postanowień niniejszego Regulaminu Programu Partnerskiego nie stanowi rekomendacji do zakupu, sprzedaży lub posiadania jakichkolwiek konkretnych aktywów cyfrowych.

Wszelkie skutki podatkowe będą zależały od indywidualnej sytuacji Partnera / Osoby Poleconej. W przypadku braku pewności co do jakichkolwiek skutków podatkowych, zaleca się zasięgnięcie porady u specjalisty ds. podatkowych.

Celem niniejszego Regulaminu Programu Partnerskiego est przedstawienie Shares nowym użytkownikom, którzy chcą aktywnie korzystać z usług świadczonych przez Shares. Jeżeli zidentyfikujemy jakiekolwiek oszustwo lub nadużycie mające na celu wykorzystanie niniejszego Programu Partnerskiego niezgodnie z jego celem, możemy według własnego uznania podjąć wszelkie działania, które uznamy za stosowne w danych okolicznościach, w tym zdyskwalifikować jakichkolwiek Istniejących Użytkowników z uczestnictwa w Programie Partnerskim, unieważnić i usunąć udostępnioną Nagrodę lub zlikwidować Konto Użytkownika.

Przykładowo i niewyłącznie, następujące działania będą uznawane za niedopuszczalne:

• masowe wysyłanie linków polecających do Osób Polecanych, które następnie wszystkie składają swoje Zlecenia kupna, aby spełnić kryteria Nagrody, a następnie natychmiast sprzedają swoje pozycje, aby wycofać swoje środki; lub
• nieprzestrzeganie postanowień punktu 4, w szczególności Wytycznych Społecznościowych.

Shares zastrzega sobie prawo do zmiany, uzupełnienia, rozszerzenia, skrócenia lub zamknięcia niniejszego Programu Partnerskiego w dowolnym czasie bez wcześniejszego powiadomienia jakiegokolwiek Użytkownika. Powiadomimy Cię o wszelkich zmianach w Programie Partnerskim lub jego warunkach poprzez aktualizację Regulaminu Programu Partnerskiego.
